These Terms and Conditions ("Terms") govern the purchase, use, and distribution of the Master Corporate Training Library ("Library"), designed and developed by ICARIANS. By purchasing, downloading, or using the Library, you ("Customer," "You," or "User") agree to comply with and be bound by the following:

1. License of Use

When you purchase the Library, you are granted a Standard License for personal and professional use.

You are allowed to:

  • Use the Library to design, develop, and deliver your own training programs, workshops, and coaching sessions.
  • Customize, adapt, or edit the materials to suit the unique needs of your organization or training participants.
  • Use the Library repeatedly across multiple training sessions within your own practice or organization.

You are not allowed to:

  • Share, upload, or distribute the files publicly through websites, cloud platforms, forums, or other digital sharing tools.
  • Sell, resell, or sublicense the content in its original or modified form without purchasing a Reseller License.
  • Claim ownership of the content or represent it as your original intellectual property.

The license is non-transferable and is intended solely for the purchaser's use.

2. Reselling Rights

  • The Standard License does not include permission to resell or redistribute the Library.
  • A Reseller License is available for trainers, publishers, or organizations who wish to sell the materials, either as part of a training package or as standalone resources.
  • The Reseller License comes with specific terms regarding pricing, branding, and attribution, which must be followed.

3. Intellectual Property Rights

  • All content within the Library including slides, templates, trainer guides, worksheets, exercises, and case studies remains the exclusive intellectual property of ICARIANS.
  • Purchase of the Library grants a license to use the content but does not transfer ownership of the underlying intellectual property.
  • Unauthorized copying, reproduction, or distribution of the content, whether free or paid, constitutes a violation of copyright law and may result in legal action.

4. Payments & Refunds

  • All payments are required in full at the time of purchase.
  • Given the digital nature of the Library, all sales are final and non-refundable once access to the files has been delivered.
  • In case of technical issues (e.g., failed downloads, corrupted files), customers may request replacement files at no extra cost.
  • Any fraudulent payment activity will result in license termination and possible legal proceedings.

5. Delivery of Materials

  • After completing your purchase, you will receive a download link or a delivery email containing access to your files.
  • It is the customer's responsibility to provide an accurate and valid email address at the time of purchase.
  • If you do not receive your files within 24 hours, please contact our support team at trainers@icarians.net

6. Acceptable Use Policy

The Library should only be used for educational, training, and professional development purposes. You agree not to misuse the content for illegal, unethical, or misleading activities.

You may not use the Library for:

  • Creating derivative works intended for resale without a reseller license.
  • Mass-sharing or distributing the content beyond your own professional training activities.
  • Any activity that could harm the reputation of ICARIANS.

7. Limitation of Liability

  • The Library is provided "as is" for training and professional development purposes.
  • ICARIANS makes no guarantees regarding specific outcomes, performance improvements, or financial results from using the Library.
  • We are not liable for any direct, indirect, incidental, or consequential damages resulting from the use or misuse of the Library.
  • The user accepts full responsibility for how the materials are applied in their training programs.

8. License Termination

Your license will be terminated immediately, without refund, if you:

  • Violate the terms of the license by unauthorized distribution, resale, or misuse.
  • Engage in copyright infringement or intellectual property violations.
  • Fail to comply with any of the conditions outlined in these Terms.

Upon termination, you must delete all copies of the Library from your devices and storage systems.

9. Updates & Modifications

  • ICARIANS may occasionally release updated versions of the Library with new or improved content.
  • Access to updates may be included or may require an additional purchase, at the sole discretion of ICARIANS.
  • We reserve the right to modify, improve, or discontinue the Library at any time without prior notice.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Delhi - India. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in New Delhi.
